To replace a stock certificate, you must furnish an affidavit of ownership and also pay for an indemnity bond executed by a surety company. Stock certificates are valuable and should be kept in a safe place. If your Black Hills Corporation stock certificates are lost, stolen or destroyed, notify our transfer agent, Wells Fargo Shareowner Services, N.A., immediately.

Please contact Wells Fargo Bank, N.A. at 1-800-468-9716. Upon receipt of your request, they will begin the replacement process and mail the necessary forms to the mailing address maintained on the account. The forms will be accompanied by a cover letter explaining the process.

You should write to Computershare, telling them that you have mislaid your certificate. They will send you a letter of indemnity to sign and return to them. You will normally have to get the indemnity guaranteed by your bank and they will usually make a charge for this. Computershare will then issue a replacement certificate.

If you do not know the number(s) of the missing certificate(s) please provide the number(s) of the certificates still in your possession. Please also state if the certificate(s) is/are lost or stolen. Your letter must be signed by at least one of the shareholders. We will send you a formal Letter of Indemnity for completion. The Letter of Indemnity should be signed and returned to Capita Registrars together with one document from list A and one document from List B.

You should report a lost certificate to Continental as soon as possible (212.509.4000 x237), if we are the agent for the security involved. Please try to provide the certificate number and the share amount. We will place a "stop" on the certificate to prevent its transfer and provide you with paperwork required to obtain a replacement certificate. The minimum total fee is $40. No fee is charged for reporting the nonreceipt of a certificate within six months of AST's mailing.

If a certificate is lost, stolen, or destroyed notify our Transfer Agent, Holladay Stock Transfer, Inc., immediately so that a "stop transfer" instruction can be placed on our records to prevent transfer of ownership to another person. Holladay will send you the forms to permit the issuance of a replacement certificate.

The cemetery does issue duplicate copies of Certificates of Interment Rights. Only one certificate can exist or be recognized. Most investors keep their shares at a broker to avoid problems that may occur with certificates being lost, destroyed or stolen, as well as delivery delays when certificated shares are sold.
