The initial sale of all of the Equity Memberships held by the Company or the initial sale of all of the residences and Homesites in the Iron Horse residential community to retail purchasers, whichever occurs later; or Any earlier date determined by the Company in its discretion, provided the Club's accounting firm has reviewed the operating results of the Club and confirmed that the Club operated during the preceding 12-month period without an operating deficit.

The "Turnover Date" will be within 60 days after the initial sale of eighty-five percent (85%) of the maximum number of Golf Memberships which can be issued in the Club, but, at the election of the Company, no later than January 15, 2013. Prior to the Turnover Date, the Company will fund all operating deficits and be entitled to retain any excess operating funds of the Club.

Turnover or sales revenue is the (total) amount of money generated by your business, not just the profit.

The dues, fees and charges of the Club should provide sufficient revenues to allow the Club to break even. If this does not happen, the Board of Directors can either raise dues and charges, assess the members for the operating deficit or take other actions as they deem necessary in their business judgment.

In the summer, the lake "stratifies" or develops layers of different temperatures that do not mix. Perhaps you've noticed the effect? have you ever kicked into a cooler layer while swimming at the warm surface? As fall nights chill the lake's surface, the top layer of water cools, becomes heavier, and eventually sinks. Water that was at the bottom of the lake is displaced? it rises to the top, bringing with it lots of bottom nutrients.

In the child care industry nationwide, the employee turnover rate is about 33%. Here at St Luke, we consistently maintain a staff of about 22 individuals with an average stay of approximately four years. Most of our staff is employed part time (about 20 hours wkly) and are students. This impacts turnover rates at the Center.

We have been helping member firms hire and develop broker trainees for five years. To date, approx. 70% of the trainees hired have either graduated from the program and are very successful brokers or are succeeding now in the development program.

In Avon, where we've been open for 20 years, over a third of our staff have been with us for more than five years (many have been with us for more than 10 years) and almost all of our lead teachers have been with us for more than three years. This is a high turnover strategy. From an investor's standpoint, however, this will not make any difference.
